Position Rooted Board Members are responsible for strategic guidance and oversight of Rooted School Las Vegas (RSLV) and its Executive Director, who is responsible for carrying out the plans of the charter. Under the leadership of the Board Chair, the Board Members offer advice and counsel to the Executive Director and leadership team while ensuring appropriate governance is in place to remain in compliance with the Charter Agreement. As the final authority for RSLV’s business, Board Members make all strategic, legal, and fiduciary governance decisions, although they delegate management powers and duties to others. The Board of Directors is responsible for developing and approving RSLV’s mission, strategic goals and objectives, and establishing policies related to Rooted School Foundation’s arms of delivery.

Responsibilities
  • Focus on being a policy maker by supporting the clear distinction between the policy-making functions of the Board and the responsibility of the administration and faculty to administer and implement these policies.
  • Vote on all motions of the Board except when removal from action for conflict of interest is declared.
  • Hire and support the School Leader and evaluate success against Board established performance standards.
  • Ensure organizational excellence through professional management of RSLV by the School Leader.
  • Approve the annual budget.
  • Approve contracts, disposition of property, and disposal of records as recommended by the School Leader.
  • Serve as a strong and visible ambassador for RSLV in the community up to and including volunteer and fundraising opportunities.
  • Support a culture for effective change.
  • Preserve organizational autonomy.
  • Protect RSLV and its staff from undue influence or pressure by external bodies.
  • Attend all Board meetings, Board Committee meetings and review all materials prior to the meetings to assure meaningful participation.
  • Be courteous and treat other Board Members with respect.
  • Consider the best interest of Rooted School’s mission at all times.
  • Live the values of Rooted School in all official capacities as a representative of the Board and School.
Giving (1) It is expected that Board Members will help the executive make connections to fundraise for Rooted School Las Vegas’ long-term mission and vision. (2) Rooted School Las Vegas’ requests that Board Members make the organization a philanthropic priority either through their personal giving or network to assist in meeting Rooted’s fundraising targets.
